I recently replaced my PCB G1 due to some erratic problems which I think were caused by a lightning storm.....Since I am in the US, I had a friend in the UK sell me a replcement PCB (minus the CPU) which has 4.207 firmware on it....Since replacing the PCB, the phone dialer will not dial out and seems to just hold the phone line open...also even after I logon and silence the an alram, I hear relay's on the PCB clicking about once every 5 seconds....any help or thought on these issues would be greatly welcomed.

Your replacement PCB is 4.207 which means it is Comfort I PRO. Comfort I was phased out in 2005, and Outside 4.207 firmware was released in 2004 which means your "new" system is almost 6 years old. Some of the electronic components are out of production.
You should ask your friend where it was bought from, and ask him to get a refund
There arre upgrade packages available to Comfort II see http://www.comfortforums.com/forum25/1403.html
This would make more sense

Thank you....this may be an off the wall question but will the current program configuration work on the new hardware or do I need to start over....I am comfortable with doing some task like adding points, timers etc, but not sure if I could reconfigure the system from scratch...
